No proposed contract shall be valid or binding unless first approved by the Executive Board by a majority ⅔ vote and then ratified by the majority of the members covered by it, and any contract so approved and ratified and in conformity with Article XXV of the International Constitution, shall be binding upon the Union and its members. 2. The Executive Board, by a majority vote, shall/must approve all proposed Letters of Agreement (LOA) and Memorandum of Understanding (MOU) that involve the entire membership before they are signed by The President or their designee. 3. Letters of Agreement—LOA or Memorandum of Understanding—MOU specific to a BASE shall be signed by the Base Executive Board Member of that respective base. The agreement must first be approved by a two-thirds (2/3) vote of The Executive Board prior to being signed. In the event The Base Executive Board Members are not able to sign the agreement, The President of their designees shall sign on their behalf. 4. The Base Executive Board Members shall have the final decision on all matters, affairs, and business involving their respective bases. 5 . The Base Executive Board Members or their designee shall attend all meetings involving their respective base. The President or their designee may also be present. Submit Feedback Here SECTION VIII 1. Shop Stewards shall be responsible to The Executive Board for all Base Union Business. 2. Shop Stewards shall carry out duties assigned to them by The Base Executive Board Member of their respective Base. 3. If not enough Shop Stewards are elected to represent their base during the election cycle and/or it is determined that more Shop Stewards are needed between elections, The Base Executive Board Member may appoint Shop Stewards to their respective bases with the approval of The Executive Board. 4. Shop Stewards shall make themselves available for in-person meetings. Submit Feedback Here SECTION XII 1. Committees shall carry on such activities as may be required by their respective functions under the supervision of the Executive Board or the Membership. 2. A Committee may not incur any liability or indebtedness on behalf of the Local Union without written authority from the Executive Board. 3. A committee may not enter into any agreement without first obtaining the approval and directions of The Executive Board. SECTION VI 1. The Base Executive Board Members will hold (1) town hall meeting per quarter in their respective base in any 12-month period. The town hall meeting may be held virtually. 2. Town Hall meetings held in local bases will not be considered membership meetings. Only members in good standing may attend Town Hall meetings. 3. Membership Meeting notices shall be posted on all Union Bulletin Boards and any electronic means available at least forty-five (45) days prior to the date of Meetings except in cases of Special Meetings. 4. Only Members in good standing shall be permitted to attend Meetings of Local 579. 5. All Members attending the Membership Meeting shall register to participate in the meeting with their name and employee number at least (5) five days business days excluding holidays prior to the meeting. A business day shall be defined as Monday through Friday. 6. In the event that The Recording Secretary is absent The President may appoint someone to fill their duties for that meeting only. 7. The rules contained in the current edition of Roberts Rules of Order Newly Revised shall govern our Membership Meetings and in all cases to which they are applicable and in which they are not inconsistent with these Bylaws and any special rules or order or working rules the Membership may adopt subject to our International Constitution, and any applicable State or Federal Law. 8. A quorum shall be defined as those Members in attendance at all Membership Meetings. Submit Feedback HereSECTION XIV Contract Negotiations 1. The Negotiating Committee shall be appointed by The Executive Board and consist of a minimum of five (5) people. No more than five (5) people shall be on the Negotiating Committee. 2. The Executive Board may also hold an election for all or a portion of The Negotiating Committee if they decide to do so. If the Executive Board decides to hold elections for all or a portion of the Negotiating Committee, they may use a web-based ballot platform. 3. The Lead Negotiator shall be appointed by The Executive Board. 4. The negotiating committee shall provide regular updates to The Executive Board when applicable. 5. The President or their designee shall/must be present at all contract negotiations. .
